The Process of Registering a Limited Company in Kenya
- Long into your eCitizen account. If you don’t have one the process of opening an account is easy and straightforward.
- Select Business Registration Service.
- Once there, click on Make application.
- You will be directed to “Business Name Registration”.
- Choose the type of business that you want to register as well as the name of the business. If you don’t have a business name yet the process is easy.
- Once the business name has been approved, you are able to register.
Requirements for the Registration of a Limited Company in Kenya
When the company name is reserved, you will need to provide the necessary information and documents. The following is required;
Details of the Director(S)
- Full names as displayed on the national ID or passport.
- Occupation
- If you are not in any occupation you can simply write businessperson.
- Postal address (register with Posta in case you don’t have one).
- Physical residential address.
- Provide details on the share allocation. Shares available for allocation are 1,000 and this can be shown in percentage form. For example, 20%, 2%, 60%, etc.
- Proof of identity documents.
- Copy of ID or passport. Scan or photocopy.
- Copy of KRA PIN certificate (foreigners don’t need any).
- A clear photo just like passport photos.
Company Details
- Company name suggestions
- Nature of business
- Location of the business premises.
- Building name, street name, and town name.
After these documents have been prepared, the company directors will be required to sign the MOU and other necessary documents. They include;
- Form CR1-Application form for the company registration
- Form CR2-MOU
- Form CR8-Notice of residential address of the director(s)
- Notice of nominal capital share.
- Cessation form (where necessary).
Certificate of Incorporation
After the documents have been approved, you will be issued with this.
